TITLE: the regulations may be cited as The Nigeria Professional Football League Status 2005”
- Interpretation: In the regulations, unless otherwise required:
- “FIFA” means the Federation of International Football Association
“CAF” means the Confederation of African Football
“WAFU” means the West African Football Union
“NFA” means the Nigeria Football Association
“NPFL” means the Nigeria Professional League
“IMG” means the Interim Management Committee
- Board Application and Exemption
a) The provisions of these regulations shall apply to the Nigeria Professional Football League (hereafter referred to as “NPFL”)
b) The provision of these Regulations shall apply now and alter the NPFL is fully commercialized and incorporated as a private limited liability company as the Corporate Affairs Commission.
c) The following shall be exempted from the application of these Regulations.
i. The development of all Forms of Amateur Football;
ii. The challenge cup competitions
iii. The Football Academicals, Institutional and Youth Football.
d) The overall operation of the NPFL shall be under the supervision of the
NFA, in accordance with article 18 of FIFA status.
- Affiliation:
1) It is hereby recorded that:-
a) The NPFL is the only professional football body recognized by the Nigeria Football Association (NFA) in the Federal Republic of Nigeria
b) NPFL is affiliated to NFA by virtue of the NFA statutes 2004.
- Objects
The objects of the PNFL are:-
(a) To provide, organize, control and administer professional football under the jurisdiction of NFA and to facilitate the development of professional football in the Federal Republic of Nigeria in accordance with the statutes and laws of NEA, FIFA, CAF, WAFU and any other international football organization.
(b) To foster friendly relations amongst the officials and players of the clubs and /organization.
(c) Generally to concern itself with all matters and questions to the conduct of professional football in Nigeria.
(d) To utilize its fund for investments and for such other purposes and which shall be in the interest of the NPFL and affiliated clubs and / or the objects for which the NPFL has been established.
(e) To establish standard for venue and facilities.
(f) T0 protect the welfare of players and coaches.
- Members:
Members of the NPFL shall be those clubs affiliated to the NPFL in terms of its Rules and regulations. All members shall be subject to and bound by the rules and regulations of the NPFL as well as the rules and regulations relating to the League and cup competitions under the jurisdiction of NFA.
- Departments and Units
The NPFL shall be constituted into the following Departments and Units.
Departments:
a) Football
b) Finance and Administration
c) Marketing
d) Public Relations (Medial)
Units
a) Information Technology (IT)
b) Internal Audit
- Management:
a) the entire day to day management control and administration of the NPFL shall vest in the Management Committee, and shall consist of the under mentioned persons:
i. The Executive Secretary
ii. Four Heads of Department
b) Subject to subsection (1) of this section, each of the departments shall be headed by an Assistance Secretary who shall report regularly to the Executive Secretary and liaise with all affiliated bodies and clubs.
c) The Assistance Secretary shall be responsible to the Executive Secretary on the activities of the department and performs such other duties as the Executive secretary nay from time to time assign to him.
- Governing Board
a) There shall be established for the NPFL a Governing Board which shall be known as the Nigeria professional Football League Governing board (hereafter in these Regulations referred to as “The Board”) which shall consist of:
i. Six representatives of the premier League clubs registered with the League from six geopolitical zones.
ii. Six representatives, three each from pro Division 1A and 1B
iii. The Executive secretary of the NPFL
b) All the twelve representatives will be elected into the office through election which guideline will be rolled out by the NPFL at an appropriate time under the supervision of the NFA.
c) Such representatives as elected to the board or may be elected to serve their clubs shall be bona fide members of their respective clubs involved in the de-lacto day running of the club’s affairs and have been of such good standing within their respective clubs for not less than six month prior to being nominated to serve their clubs.
d) Such representatives will remain on the board irrespective his/her status on the club, till the end of the tenure of the board, but he/she cannot contest re-election, unless he is re-appointed into a club’s management.
- Tenure of the Board
The tenure of the Board shall be for four (4) years.
- The Interim Management Committee (IMC)
a) The composition of the present interim League board shall be maintained to the end of the its tenure, in October 2005, thereafter the import of 9(a) above shall be established through election.
- Function of the Board
a) The function of the Board shall be:
i. To appoint an Executive Secretary
ii. To approve the appointment of other NPFL staff on the
Recommendations of the Executive Secretary.
iii. To organize league matches for professional football clubs
iv. To provide, in cooperation with other bodies, adequate training for its employees and various personnel that may be involved in the administration and organization of the league and its activities.
v. To determine such area of the league’s activities to be
Commercialized in order to earn income for the league, the Professional players and professional clubs;
vi. To regulate the organization, registration, practice of form with the laws of the Nigeria Football Association on technical issues affecting the administration and organization of the game football.
vii. To approve by-laws of the league which shall conform with the laws of the Nigeria Football Association on technical issues affecting the administration organization of the game of football
viii. To advise the NFA Board on matters affecting the League and furnish it with information as may be required from time to time.
ix. To perform such other function as the Association may, from time to time assign to the Board.
x. To conduct election for the incoming Board, under the supervision of the NFA.
b) The Board shall the power to set out hereunder, as well as have the power to delegate in writing to the management herein referred to in S8. The right to:
i. Buy, sell, or hire, exchange, transfer, receive by way of gilt, donations or otherwise, moveable and immoveable properties.
ii. Invest its funds with recognized Banks, building societies or capital market only.
iii. Engage officers for the NPFL, either on a honorary basis or on positioning from the NFA or Federal Ministry of sports and Social Development on such terms as the NPFL may deem necessary or convenient and to remunerate any such officer or servant employed otherwise than on an honorary basis and also any member or other person rendering services to the NPFL.
iv. Make and amend rules and regulations for the proper functioning of the NPFL
v. Levy membership and any other fees inclusive of registration and participation fees on members on an annual basis and should the need arise, to levy additional fees.
vi. Initiate, convene, organize and hold conference of representatives of members of the NPFL or any committee thereof other persons.
vii. Raise by way of public or private appeal subscription of donations, such monies as may be deemed necessary or incidental for the attainment of alt or any objects of this NPFL and to take and accept any subscriptions, contributions, gifts, endowments and bequest, whether in land, property, money or otherwise, for any of the objects of the NPFL, and to carry out any trust attached to any such gift, endowment or bequest.
viii. Print and publish such newsletter, periodicals, books, pamphlets or leaflet and to make, procure and/or exhibit such photographs, pictures, cinematography, i.e. films and other publicity media that maybe necessary or desirable for the promotion of its objects or to enter into any arrangement for the printing or publishing or exhibition or other publicity media as aforesaid and to pay inter of any such arrangements.
- Chairman and Vice Chairman
a) There shall be a Chairman who shall be elected by the amongst its Premier League Representatives.
b) There shall be a Vice Chairman who shall be elected by the Board.
- Meeting of the Board
The Board shall hold a meeting every month of the league season or as necessary.
a) The Chairman shall preside over the meeting of the board.
b) The Executive Secretary shall take notes at the meeting and prepare brief for meetings.
c) In the absence of the Chairman the Vice Chairman shall act as Chairman for the purpose of the meeting.
d) In the absence of both the Chairman and Vice Chairman, the board shall elect a member to preside over meetings.
- Funds of the League Board
a) The Board shall establish and maintain a fund in which shall be defrayed all expenditure incurred by the Board.
i. The Executive Secretary shall be entitled to utilize for the carrying out of its functions Funds as may be determined by the board.
ii. The Executive Secretary shall seek the Board’s approval to incur expenditure.
b) The following shall be credited to the Fund established under subsection (1) of this section:
i. All monies as may be granted to the League the Federal Government
ii. All monies realized from sponsorship, endorsement, radio and TV rights.
iii. All monies raised for the of the general purpose of the League.
iv. All monies accruing to the Board on behalf of the League by any means, including grant-n-aid, endowment and donations.
v. All charges, fees, dues or amount recovered by the Board;
vi. All interests on monies invested by the Board; and
vii. Such other monies as May from time to time accrue to the League or the Board.
- Executive Secretary
a) There shall be an Executive Secretary who shall be the Chief Executive of the Nigeria Professional Football League.
b) The NPFL Board may appoint any officer with the requisite professional qualifications as Executive Secretary.
c) The Executive Secretary shall be appointed for the 2005 season and may be eligible for re-appointment.
d) The Board shall appoint such other person or persons to assist the Executive Secretary in performance of functions of the office.
- Standing Committees
a) Subject to the provision of these Regulations, the Board may set up such Committees for the League as it may consider necessary for achieving the objectives of the League; except for referees’ and Appeals’ Committees, which are the exclusive preserve of the NFA. The Organizing and Disciplinary Committee of the NPFL shall forward proven cases of poor officiating by any referee with evidence(s) and its recommendation to the NFA referees’ Committee for consideration and possible disciplinary actions.
b) Every Committee shall have a Chairman and a Vice Chairman.
c) The League Board shall be solely responsible for approving the constitution and composition of these Committee to the game of Association Football with rules and regulation of FIFA,CAF, WAFU and the Nigeria Football Association.
- Financial Regulations
a) The Board shall cause the Executive Secretary to prepare before the commencement of the season estimate of the expenditure necessary to carry out the programmes approved by it.
b) The Board shall prepare and submit the audited and annual report to:
i. All affiliated professional clubs
ii. The Nigeria Football Association
iii. Each member of the Board
iv. Any other statutory body where necessary.
c) The board shall keep proper account in respect of the year and proper records in relations to those accounts and shall cause to be prepared in the year a statement showing the income and expenditures of the League.
d) The Board shall cause every statement prepared under this section to be audited within one month after the end of the season to which the statement relate by auditors appointed from the list and in accordance with the guidelines supplied by the auditor-general of the Federation.
- Powers of the Nigeria Football Association
a) Subject to the provisions of these Regulations, the Nigeria Football Association may issue directives to the Board provided such directives are in line with international bodies (CAF,FIFA)
b) NPFL shall respect all existing agreements entered into by the NFA in running the professional League.
c) NPFL shall at liberty to renew, re-negotiate, or terminate such agreements at their expiration having satisfied all provisions of such agreements
d) Copies of all contracts entered into between NPFL and other bodies shall be lodged with the NFA.
- Appeals
a) Appeals against decisions made or penalties imposed by either, the Executive Secretary, Organizing and Disciplinary Committee of NPFL shall be made to the Appeals’ Committee of the NFA.
b) The appeals Committee’s decisions shall be final and binding on the parties and no further appeal shall be entertained.
- Court of Law
a) No member, official, player, or any other person subject to these Statutes of the NPFL shall be entitled, to pursue, or have recourse to a Court of Law. Upon affiliated to the NPFL such person, bodies or clubs shall have voluntary renounced the right of legal redress in any Court of Law. This is in accordance with FIFA, CAF, and NFA Statutes.
- Dissolution
a) The NPFL may be dissolved on a resolution passed by the Congress on the grounds that the NPFL is unable to fulfill its purposes and objects..
b) In the event or dissolution of the NPFL the funds and assets of the NPFL shall be held in trust by NFA, until such a time that a new professional League body is duly formed.
- Enforcement
a) These Statutes shall remain in force until such a time amended or replaced by the resolution to that effect by the NPFL Congress and approved by the NFA.
b) Section 11 (a) of these Statutes shall be deemed to have been deleted as soon as anew governing board of the NPFL is elected into office.
- Adoption
These Statutes were adopted at the Congress of all professional Football Clubs held on 10th January, 2005 at the Beverly Hills Hotel Abuja.
